Specific project deliverables, timelines, and costs will be outlined in a separate Statement of Work (SOW) or project agreement. 3. User Accounts and Responsibilities
If any of our Services require you to create an account, you must complete the registration process by providing current, complete, and accurate information. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We are not liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. 5. Intellectual Property Rights
The Site and Services, including all content, features, and functionality (text, graphics, logos, icons, images, audio clips, video clips, data compilations, and software) are owned by Chicken Road, its licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
For custom mobile applications developed for a client, the intellectual property rights for the final, delivered application will be governed by the specific SOW or project agreement between Chicken Road and the client. Typically, upon full payment, the client owns the intellectual property of the specific application code we created for them, while Chicken Road retains rights to its pre-existing tools, libraries, and general know-how. Any **awards** or **trophies** related to the generic platform features remain property of Chicken Road unless specified.
6. Client Materials
If you provide us with any materials, including text, images, logos, data, or other content ("Client Materials") for use in connection with the Services, you represent and warrant that you have all necessary rights, licenses, and permissions to provide such Client Materials and to allow us to use them as contemplated by the Services. You agree to indemnify Chicken Road against any claims arising from the use of Client Materials. This ensures that all content used in the app development process respects intellectual property rights, contributing to a positive app **rating** and user trust.
7. Disclaimers
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. CHICKEN ROAD DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO GUARANTEES REGARDING THE ACHIEVEMENT OF ANY PARTICULAR RATING, OR THE WINNING OF ANY AWARDS, PRIZES, OR TROPHIES THROUGH THE USE OF OUR SERVICES OR APPLICATIONS DEVELOPED BY US; SUCH OUTCOMES OFTEN INVOLVE A DEGREE OF LUCK AND USER PARTICIPATION IN COMPETITIVE MODES.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL CHICKEN ROAD, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SITE OR SUCH OTHER WEBSITES, OR THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE. 9. Indemnification
You agree to defend, indemnify, and hold harmless Chicken Road, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, any use of the Service's content, services, and products other than as expressly authorized in these Terms or your use of any information obtained from the Site.
10. Termination
We may terminate or suspend your access to all or part of the Services at any time, with or without notice, for any reason, including, without limitation, if we believe you have violated these Terms.
